Terms of Service

Effective Date: January 1, 2025

1. Acceptance of Terms

By accessing or using MakeCargo's freight forwarding management platform ("Platform"), you ("Customer") agree to be bound by these Terms of Service ("Terms"). If you are accessing the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, please do not use the Platform.

2. Description of Services

MakeCargo provides a cloud-based Software as a Service (SaaS) solution for freight forwarding and logistics management. Our Platform includes:

• Shipment management and real-time tracking
• Quotation creation and management
• Document generation and secure storage
• Reporting, analytics, and performance dashboards
• Team collaboration and customer management tools

Features and availability may vary by subscription plan.

3. Account Registration

To use the Platform, you must create an organization account. You agree to:

• Provide accurate and complete registration information
• Maintain the confidentiality of your account credentials
• Promptly notify us of any unauthorized access to your account
• Take responsibility for all activity that occurs under your account

Accounts are intended for business use only. Users must be authorized employees or contractors of the registered organization.

4. Acceptable Use

You may use the Platform solely for lawful freight forwarding and logistics business operations. You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Attempt to reverse-engineer, decompile, or disassemble the Platform
• Introduce malware, viruses, or other harmful code
• Use the Platform to infringe third-party intellectual property rights
• Resell or sublicense access to the Platform without our written consent
• Overload, disrupt, or conduct security attacks against Platform infrastructure

5. Subscription Plans and Payment

• Subscription fees are billed in advance on a monthly or annual basis per your selected plan
• All fees are non-refundable unless otherwise expressly stated
• Subscriptions automatically renew unless cancelled at least 7 days before the renewal date
• We reserve the right to modify pricing with 30 days' prior written notice
• Failure to pay may result in service suspension or termination

6. Intellectual Property

MakeCargo retains all intellectual property rights to the Platform, including software, designs, trademarks, and documentation. Your organization retains ownership of all data you enter into the Platform ("Customer Data"). You grant us a limited license to process Customer Data solely to provide the services described herein.

7. Confidentiality

Each party agrees to hold the other's confidential information in strict confidence and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives termination of these Terms for a period of 3 years.

8. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of fitness for a particular purpose, merchantability, or uninterrupted availability. We do not warrant that the Platform will be error-free or free from security vulnerabilities.

9. Limitation of Liability

To the maximum extent permitted by applicable law, MakeCargo shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our total cumulative liability to you shall not exceed the total subscription fees paid by you in the 12 months immediately preceding the claim.

10. Termination

Either party may terminate these Terms with 30 days' written notice. We may terminate immediately upon written notice if you materially breach these Terms and fail to cure the breach within 7 days. Upon termination, you must cease using the Platform, and we will provide a 30-day window for you to export your Customer Data before it is deleted.

11. Governing Law

These Terms are governed by the laws of the Socialist Republic of Vietnam. Any disputes arising under these Terms shall be submitted to binding arbitration in Ho Chi Minh City, Vietnam, unless both parties agree to an alternative dispute resolution method in writing.

12. Modifications

We reserve the right to modify these Terms at any time. We will provide at least 30 days' advance notice of material changes via email or Platform notification. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the updated Terms.
